1. Introduction

Welcome to Fibric. These Terms of Service ("Terms") govern your access to and use of Fibric’s products, services, and platforms, including the Fibric web application, APIs, SDKs, developer tools, integrations, and related technologies (collectively, the "Services").

By using Fibric, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.

2. About Fibric

Fibric, Inc. ("Fibric," "we," "us," or "our") is a Delaware corporation that provides AI-powered building intelligence software enabling users to monitor, automate, and optimize their physical environments. Fibric’s Services include user-facing interfaces, AI agents, data analytics, and integrations with third-party systems such as Honeywell, Assa Abloy, Seam, Node-RED, and others.

3. Eligibility

You must be at least 18 years old to use the Services. If you are accessing Fibric on behalf of a business or institution, you must have full authority to accept these Terms on its behalf.

4. Account Registration

To use the Services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify Fibric immediately if you suspect unauthorized access or account compromise.

5. Use of Services

5.1 Permitted Use

You may use Fibric only for lawful purposes and in accordance with these Terms. You agree not to:

  • Reverse engineer, copy, or resell the Services.
  • Circumvent access controls or security mechanisms.
  • Use Fibric for surveillance, discrimination, or harmful activities.
  • Interfere with building systems or integrations in a way that risks safety or privacy.

5.2 Compliance

You are responsible for ensuring your use of the Services complies with all applicable laws, regulations, and building or data policies.

6. Data Ownership and Privacy

6.1 Data Ownership

Data generated by buildings, devices, or users ("Building Data") belongs to the customer. Fibric acts solely as a data processor and steward. You retain full ownership and control over your Building Data.

6.2 Data Usage

Fibric may process Building Data to provide, maintain, and improve the Services. Aggregated and anonymized data may be used for performance optimization, benchmarking, and research. Fibric does not sell customer data.

6.3 Privacy Policy

Your use of the Services is subject to our [Privacy Policy], which explains how we collect, use, and safeguard information.

7. AI Behavior and Decision Transparency

Fibric’s AI systems operate within defined permissions and scopes. Each automated action is logged, explainable, and reversible. Users may review AI decisions through Fibric’s transparency and activity dashboards.

8. Third-Party Integrations

Fibric integrates with third-party software and hardware. When you connect external services, you authorize Fibric to exchange data as necessary to perform requested functions. Fibric is not responsible for the actions, reliability, or security of third-party providers.

9. Developer Platform

Developers may create and publish custom skills or integrations using Fibric’s APIs or SDKs. All developers must comply with Fibric’s Responsible AI Developer Agreement, which prohibits misuse, surveillance, or unauthorized data sharing.

10. Subscription Plans and Payments

Fibric offers free, trial, and paid subscription tiers. Subscription terms, pricing, and billing cycles are specified at the time of purchase or contract.

All fees are non-refundable except as required by law. Fibric may change pricing or plan features with notice. Failure to pay may result in suspension or termination of Services.

11. Intellectual Property

Fibric retains all rights, title, and interest in and to the Services, including software, documentation, and designs. No license or ownership rights are transferred except as expressly stated in these Terms.

You may not remove trademarks, logos, or proprietary notices from any Fibric materials.

12. Service Availability

Fibric aims for high reliability but does not guarantee uninterrupted or error-free operation. Maintenance, updates, or network events may temporarily affect access. Fibric will provide reasonable notice of scheduled downtime when possible.

13. Security and Compliance

Fibric uses industry-standard encryption, access control, and monitoring to secure systems and data. Users are responsible for maintaining security on their own devices and networks.

14. Termination

You may stop using Fibric at any time. Fibric may suspend or terminate your account if you violate these Terms, misuse the Services, or pose a risk to security or others.

Upon termination, your access will cease, but you may export your Building Data within 30 days. After that, Fibric may delete data per retention policy.

15. Disclaimer of Warranties

Fibric provides the Services "as is" and "as available" without warranty of any kind. To the fullest extent permitted by law, Fibric disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

16. Limitation of Liability

To the maximum extent permitted by law, Fibric and its affiliates are not liable for any indirect, incidental, consequential, or special damages, including loss of data, revenue, or business opportunities, even if advised of such damages.

Fibric’s total liability for all claims arising under these Terms will not exceed the amount paid by you to Fibric in the past twelve months.

17. Indemnification

You agree to defend, indemnify, and hold harmless Fibric and its affiliates from any claims, damages, or expenses arising from your misuse of the Services, violation of these Terms, or infringement of others’ rights.

18. Arbitration and Dispute Resolution

Any dispute arising from these Terms or the Services will be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

You waive the right to a jury trial or class action. Arbitration will take place in Delaware, unless both parties agree otherwise. Judgment on the award may be entered in any court with jurisdiction.

19. Modifications

Fibric may update these Terms from time to time. Changes become effective upon posting. We will notify users of material updates via email or in-app notice.

Your continued use of the Services after changes take effect constitutes acceptance of the new Terms.
